These Terms and Conditions ("Terms") govern your use of the MISBuddy platform ("Platform"), operated jointly by DreamyHook Digital Media ("DreamyHook") and DataStatic Solutions — DSS ("DataStatic"), collectively referred to as "MISBuddy", "we", "our", or "us". By accessing or using our Platform, you agree to be bound by these Terms.

1. Definitions

"Platform" refers to the MISBuddy web application, APIs, mobile applications, and all related services.
"User" refers to any individual or entity that accesses or uses the Platform.
"License" refers to the permission granted to use the Platform under a specific plan.
"Business Data" refers to any data uploaded, created, or processed by the User within the Platform.
"AI Features" refers to all artificial intelligence and machine learning capabilities provided by the Platform.

2. Account Registration

To use MISBuddy, you must register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Licensing Model

3.1 License Grant

Upon purchasing a license, MISBuddy grants you a non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with your selected plan. All features included in your plan are available without artificial limits or feature gates.

3.2 License Restrictions

You may not: sublicense, resell, or redistribute access to the Platform; reverse engineer, decompile, or disassemble any part of the Platform; use the Platform for any unlawful purpose; attempt to gain unauthorized access to any part of the Platform or its infrastructure; or use the Platform in any manner that could damage, disable, or impair our servers or networks.

3.3 License Tiers

License tiers (Starter, Professional, Enterprise) determine the number of authorized users and certain advanced features. Specific tier details are described on our pricing page and in your license agreement.

4. Data Ownership & Rights

4.1 Your Data

You retain full ownership of all Business Data you upload to or create within MISBuddy. We do not claim any ownership rights over your data. You grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Platform services to you.

4.2 Data Processing

We process your data only as necessary to deliver the Platform's features, including AI-powered analytics and insights. Your data is never used for purposes beyond servicing your account, and is never shared with or sold to third parties.

4.3 Data Portability

You may export your Business Data at any time in standard machine-readable formats. Upon account termination, you will have 30 days to export your data before it is permanently deleted.

5. AI Features & Usage

MISBuddy provides AI-powered features including predictive analytics, natural language queries, automated reporting, and anomaly detection. By using these features, you acknowledge that:

AI outputs are generated based on your data and should be verified before making critical business decisions.
MISBuddy is not liable for business decisions made based solely on AI-generated insights.
AI models are not shared across users. Your data trains models exclusively within your workspace.
You may opt out of specific AI features without losing access to core platform functionality.

6. Privacy & Security

Your use of the Platform is also governed by our Privacy Policy, which details how we collect, use, and protect your information. We employ AES-256 encryption, zero-knowledge architecture, and role-based access controls to secure your data.

7. Payment & Billing

License fees are billed in advance on a monthly or annual basis as per your selected plan.
All fees are non-refundable except as required by applicable law or as specified in your license agreement.
We reserve the right to change pricing with 30 days' prior notice. Existing licenses remain at their current rate until renewal.
Failure to pay may result in suspension or termination of your account.

8. Acceptable Use

You agree not to use MISBuddy to:

Upload or process any content that is illegal, harmful, threatening, abusive, or violates the rights of others.
Attempt to compromise the security, integrity, or availability of the Platform.
Use automated means (bots, scrapers) to access the Platform beyond approved API integrations.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Store or process data regulated under special compliance regimes (e.g., healthcare, financial) without appropriate plan and configuration.

9. Intellectual Property

The MISBuddy platform, including its software, design, branding, documentation, and AI models, is the intellectual property of DreamyHook Digital Media and DataStatic Solutions. You are granted a license to use the Platform, but no ownership or intellectual property rights are transferred to you.

10. Service Availability

We strive to maintain 99.9% uptime for the Platform. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our control, including internet outages, force majeure events, or third-party service failures.

11. Limitation of Liability

To the maximum extent permitted by law, MISBuddy, DreamyHook Digital Media, and DataStatic Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Platform.

Our total liability for any claim arising out of these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless MISBuddy, DreamyHook Digital Media, DataStatic Solutions, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate the license agreement at any time. Upon termination, your access to the Platform will be revoked, and you will have 30 days to export your data. We may terminate your account immediately if you breach these Terms.

14. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with proceedings conducted in New Delhi, India.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email and by posting the updated Terms on our website. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
